Preferential allotment gives Briny Digitalize 1.62 crore equity shares in 7NR Retail as part of a non-cash transaction.

Briny Digitalize Private Limited has now acquired a 14.41% stake in 7NR Retail Limited following the allotment of 1,62,00,000 equity shares. The company’s regulatory disclosure states that the transaction was completed on September 11, 2026.

The shares were allotted on a preferential basis through a share swap arrangement. Unlike a conventional cash-based acquisition, a share swap involves issuing or transferring securities as consideration for the transaction.

The transaction falls under SEBI disclosure rules.

The acquisition has been disclosed under Regulation 29(1) of the Securities and Exchange Board of India’s (SEBI) Substantial Acquisition of Shares and Takeovers (SAST) Regulations, 2011.

Following the allotment, Briny Digitalize holds 1,62,00,000 shares in 7NR Retail, equivalent to 14.41% of the company’s diluted share capital. The regulatory filing provides the shareholding details but does not specify a cash value for the transaction, consistent with its description as a share swap. Such disclosures are required when shareholding crosses specified regulatory thresholds, allowing investors and the market to track substantial changes in ownership.

7NR Retail’s equity capital rises.

The transaction has also resulted in a substantial increase in 7NR Retail’s paid-up equity share capital. Before the allotment, the company had a paid-up capital of ₹28,00,68,000, represented by 2,80,06,800 equity shares. Following the preferential allotment, the paid-up capital increased to ₹1,18,00,68,000, comprising 11,80,06,800 shares. The increase reflects the additional equity issued as part of the transaction and changes 7NR Retail’s overall shareholding structure.

For 7NR Retail, the preferential issue expands its equity base while bringing a new substantial shareholder into the company’s ownership structure. For Briny Digitalize, the transaction results in a 14.41% holding without the acquisition being structured as a conventional cash purchase. The development will now be relevant to investors tracking 7NR Retail’s ownership pattern, preferential allotments and corporate actions.
