TVS Venu group deepens specialised lending push with all-cash deal for education-focused NBFC

Home Credit India, part of the TVS Venu group led by Sudarshan Venu, has acquired Varthana Finance in an all-cash transaction valued at ₹967 crore. The deal expands the group’s financial services footprint and gives it its first foothold in education-focused lending, adding to the consumer, retail and commercial lending operations already run under TVS Credit Services and Home Credit India.

Strategic Rationale

The group called the deal in line with its broader ambition to create scalable financial services businesses suited for the evolving Indian credit environment. With the inclusion of Varthana’s education finance business in its portfolio, TVS Venu gets access to secured and long-tenure lending, leading to a more diversified loan portfolio. It also expects benefits across distribution, technology, operations and risk management within its wider lending network.

About Varthana

Founded in 2013, Varthana has built a specialised lending franchise serving more than 13,000 schools nationwide. The company noted that many under-resourced schools still need capital to expand facilities and improve educational access, an area it plans to keep addressing with backing from its new parent. Steve Hardgrave, Whole-time Director and Executive Vice-Chairman at Varthana, said the company looks forward to working alongside TVS as it continues supporting private schools across the country.

The Chairman of TVS Motor Company, Sudarshan Venu, pointed to significant tailwinds in the financial services sector in India including formalisation and credit access for wider segment of the population, besides the increasing need for specialized lending.

Next Steps

The transaction remains subject to regulatory approvals, including clearance from the Reserve Bank of India, and is expected to close once customary conditions are met.
